Terms and Conditions
KB Painting & Refinishing Service Agreement (REV.6/6/25)
Parties
This Service Agreement ("Agreement") is made between KB Painting & Refinishing LLC. ("Provider"), located at 2301 SE Gowin Drive, Port Saint Lucie, FL. 34952, and the undersigned client ("Client") at the "Client's address listed above on the proposal.
Services Provided
The Provider will perform painting and refinishing services ("Services") according to the specifications outlined in the attached work order, which includes site preparation, painting, finishing, cleanup, and any additional services as agreed.
Payment and Fees
Deposit:
A non-refundable deposit of 50% of the total estimated cost is required at the time of contract signing to secure the engagement.
Final Payment:
The balance is due in full immediately upon completion of the Services and before the final walkthrough with the Client. Completion is defined as the point at which all contracted work is finished and ready for inspection.
Late Payments:
Any delay in the final payment beyond 24 hours from the completion of Services will result in a late fee of $75 per day. This fee will accrue daily until the balance is paid in full.
ACH Debit Authorization
By signing this contract, Customer hereby authorizes KB Painting & Refinishing LLC to electronically debit Customer's bank account using the account and routing number information obtained from ANY check(s) previously written by Customer to KB Painting & Refinishing LLC, whether provided before, during, or after the execution of this contract, for the following purposes:
- Primary Payment Processing: To process payment for services rendered as outlined in this contract
- Collection of Insufficient Funds: In the event any check provided is returned for insufficient funds, Customer authorizes automatic electronic collection of the original amount plus applicable fees ($35 returned check fee plus any bank charges incurred by Provider)
- Final Payment Collection: Upon completion of services, if agreed-upon payment is not received within 24 hours of project completion and final inspection, Customer authorizes electronic collection of all amounts due
- Late Fee Collection: Customer authorizes electronic collection of any applicable late fees as outlined in this agreement
Terms and Conditions:
- Authorization Scope: This authorization applies to all payments related to this specific contract and project
- Banking Information Source: Customer expressly authorizes the use of account and routing number information from any check previously written to KB Painting & Refinishing LLC for electronic debit transactions
- Notification: KB Painting & Refinishing LLC will make reasonable efforts to notify Customer prior to processing electronic debits when commercially reasonable
- Fees: Customer agrees to pay all applicable fees for returned checks, insufficient funds, or collection costs
- Duration: This authorization remains in effect until all obligations under this contract are satisfied
- Customer Warranties: Customer warrants that they are authorized to provide this banking information and consent to electronic transactions for the account(s) referenced on any such checks
Alternative Payment Options: Customer may avoid electronic collection by ensuring all payments are made via verified funds (cash, certified check, or money order) within agreed-upon timeframes.
Returned Check Fees:
Any check returned for insufficient funds, closed account, or any other reason will result in a $35 returned check fee plus any additional bank charges incurred by Provider. Payment of returned check fees is subject to the same ACH authorization terms outlined above.
Refund Policy:
Cancellation Policy
Once services are booked, the Client may not cancel the engagement. Due to the high demand and the advanced scheduling required for our services, cancellations deprive other potential clients of the opportunity to book services during that time. As such, all deposits and payments are non-refundable and cannot be cancelled.
In the event that the Client needs to discuss rescheduling, this must be addressed as early as possible and will be accommodated based on availability at the discretion of the Provider. Rescheduling may be subject to additional fees if it involves significant disruption or re-booking costs.
Warranty Policy
1. Interior and Exterior Painting Warranty
Depending on the package selected during your project consultation, we offer up-to a five-year workmanship warranty on all interior and exterior painting projects. This warranty covers workmanship-related defects, ensuring that the work was performed in a professional manner according to standard practices. Please refer to your original proposal and selected package to determine your warranty period.
2. Kitchen Cabinet Refinishing Warranty
We provide a 1-Year workmanship warranty on all kitchen cabinet refinishing projects. This warranty covers workmanship-related defects, ensuring a high-quality finish.
Warranty Exclusions
This warranty applies solely to workmanship-related defects and does not cover the following:
- Self-Inflicted Damages: Any damage caused by the client, including scratches, dents, or improper maintenance.
- Animal Damage: Damage caused by pets or wildlife.
- Natural Disasters: Damage resulting from events such as hurricanes, floods, tornadoes, or other acts of nature.
- Material Defects: Any issues related to the paint or materials used, as these may be subject to the manufacturer's warranty.
Final Inspection and Satisfaction
Upon completion of the Services, the Client will be provided an opportunity to inspect the work performed by the Provider. Final payment of the invoice by the Client will confirm that the Client has inspected and accepted the quality and completion of the work, and asserts that they are satisfied with the services provided. The acceptance and payment indicate that the Provider has fulfilled all obligations under this Agreement unless otherwise noted at the time of the final walkthrough.
Indemnification
The Client agrees to indemnify and hold the Provider KB Painting & Refinishing LLC. harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising from the Client's negligence or willful misconduct.
Customer Conduct
The Provider is committed to maintaining a respectful and safe working environment. The Client agrees to conduct themselves in a courteous and cooperative manner throughout the duration of the project. If at any time the Client engages in abusive, threatening, or otherwise unacceptable behavior, the Provider reserves the right to terminate the agreement immediately without refund. Such behaviors include, but are not limited to, verbal abuse, harassment, or any actions that threaten the safety or well-being of any employee or other person at the job site. This also includes threats to defame or disparage via online channels, or threats to sue.
In the event of such termination, the Provider will document the incident(s), and the Client will be responsible for payment of all services rendered up to the point of termination. The Provider may also pursue any necessary legal actions to seek redress for damages or enforcement of this clause.
Dispute Resolution
Any disputes arising out of or relating to this Agreement shall be governed by the laws of the State of Florida. The proper venue for any legal action or proceeding shall be exclusively in the state or federal courts located in St. Lucie County, Florida. Both parties expressly consent to the jurisdiction of these courts and waive any objections to venue or forum on the grounds of inconvenience or otherwise.
The prevailing party in any legal action, whether in litigation or alternative dispute resolution, shall be entitled to recover all reasonable costs and expenses incurred, including, but not limited to, attorney's fees, court costs, and any related expenses.
Force Majeure
The Provider is not responsible for delays or failure to perform caused by conditions beyond reasonable control (e.g., natural disasters, pandemics, labor strikes).
Additional Clause: Specific Terms for Kitchen Cabinet Refinishing Services
This clause supplements the existing agreement between KB Painting & Refinishing LLC ("Provider") and the undersigned ("Client"), pertaining exclusively to Kitchen Cabinet Refinishing Services provided by the Provider.
Package Specifics:
- Basic Refinishing Package: Priced at $3,500, this package includes rolling of cabinet frames, spraying of doors/drawers, minor sanding, and repairs for up to 25 doors/drawers.
- Standard Refinishing Package: Priced at $4,500, this package offers professional frame spraying, enhanced sanding and repairs, and spraying of all doors/drawers for up to 35 doors/drawers.
- Premium Refinishing Package: Priced at $6,500, the premium option extends the Standard Package to include detailed and extensive sanding and repairs, soft-close door hinges, a two-tone color scheme, 60 doors/drawers coverage, and complimentary Thermofoil Strip, Clean, and Removal.
Inclusions and Limitations:
The selected package includes the services specified above. Services not expressly listed are deemed outside the package scope and, if requested, will incur additional charges.
Color Selection Clause (Interior, Exterior, Kitchen Cabinets Refinishing/Painting)
Client Responsibility for Color Selection
The client is responsible for selecting the desired paint colors for the project. All color selections must be finalized and submitted in writing to KB Painting & Refinishing LLC no later than two (2) business days prior to the scheduled start date of the project.
Approval of Paint Colors
The client must review and approve all selected colors in advance. KB Painting & Refinishing LLC is not responsible for dissatisfaction with color choices after the paint has been applied. Color samples can be provided upon request, but additional charges may apply for sample application or changes made after approval. We will add your selected colors into our system. This color cannot be changed after application without doing the project over again.
Color Matching Disclaimer
While every effort will be made to match the desired color, variations may occur due to differences in substrate, lighting, and batch production by the paint manufacturer.
KB Painting & Refinishing LLC does not guarantee an exact color match to samples or previously applied colors.
Change Requests
Any changes to the color selection after the deadline will result in additional charges, including but not limited to the cost of materials, labor, and scheduling delays. Change requests must be submitted in writing and approved by KB Painting & Refinishing LLC before any additional work begins.
Additional Services and Charges:
Should the Client require services beyond the selected kitchen cabinets refinishing package's scope, such services will be charged in accordance with the following rates:
- Additional Doors/Drawers: $60 each
- Two-Tone Color Scheme: $500
- Soft-Close Hinges: $600
- Excessive Repairs/Sanding: $300
- Thermofoil Strip, Clean, Remove: $800
- Spraying All Interiors of Cabinets: $500
- Excessive Cleaning: $300
- Upgraded Hardware Installation: $400
Client's Acknowledgement:
By the continuation of the engagement under the existing agreement, the Client acknowledges the terms set forth in this clause. The Client understands that any requests for services that are not included within the scope of the selected refinishing package will result in additional charges. Furthermore, the Client accepts that modifications to the package or additional services requested after the commencement of work may alter the final costs and may affect the completion schedule of the project.
Digital Signature Authorization
Electronic Signature Acceptance: This Agreement may be executed by electronic signature through Provider's customer relationship management system, Dripjobs. Client acknowledges and agrees that:
- Electronic signatures collected through Dripjobs have the same legal force and effect as handwritten signatures
- Provider will capture and retain Client's IP address, timestamp, and device information as part of the electronic signature process
- Client consents to the use of electronic records and signatures for this Agreement
- Client has the right to request a paper copy of this Agreement at any time
- Electronic execution of this Agreement constitutes Client's acknowledgment of understanding and agreement to all terms herein
Technical Requirements: By signing electronically, Client represents that they have the necessary equipment and technical ability to access and use the electronic signature process.
ACH Authorization Acknowledgment
Customer Acknowledgment: By signing below, Customer acknowledges understanding and agreement to all payment terms including the electronic debit authorization contained herein.
Entire Agreement
This document represents the entire agreement between the parties. No other agreements, promises, or representations, verbal or implied, are included herein unless specifically stated in this document.
Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
